The appointment may be made during the testator\u2019s lifetime (<em>inter vivos<\/em>) or in the will (<em>mortis causa<\/em>), but the appointee may never be one of the co-heirs. Their role is to calculate and divide the estate, which distinguishes them from the executor, whose function is to carry out the deceased\u2019s wishes except in relation to the partition itself. This was reiterated by the Spanish Directorate-General for Legal Certainty and Public Faith in its Resolution of 1 March 2024. This is particularly important when the testator anticipates conflict or inequality between the interested parties, as the absence of an estate partitioner may otherwise make judicial partition necessary, which is generally slow and costly.<\/p>\n<p>&nbsp;<\/p>\n<h2 id=\"appointment-in-will\">Appointment in the will<\/h2>\n<p>The testator may:<\/p>\n<ul>\n<li>Appoint a principal estate partitioner and substitutes.<\/li>\n<li>Establish a generous period for completing the partition.<\/li>\n<li>Define the scope of the powers granted and whether the role will be remunerated.<\/li>\n<li>Include a \u201cnon-interference clause\u201d, allowing the interested parties to dispense with the estate partitioner if they reach an agreement.<\/li>\n<\/ul>\n<p>&nbsp;<\/p>\n<h2 id=\"legal-framework\">Legal framework<\/h2>\n<p>The role of the estate partitioner is subject to very limited express regulation, apart from Article 1057.1 of the Spanish Civil Code. The rules governing executors are therefore applied by analogy (Directorate-General of Registries and Notaries Resolution of 18 March 2015; Spanish Supreme Court judgments of 23 November 1974 and 5 July 1947). Legal scholarship and case law have been essential in defining the functions of the role.<\/p>\n<p>&nbsp;<\/p>\n<h2 id=\"protected-co-heirs\">Cases involving protected co-heirs<\/h2>\n<p>Where there are co-heirs subject to parental authority or guardianship, the estate partitioner must prepare the inventory of the estate after notifying their legal representatives (Article 1057.3 of the Spanish Civil Code). This raises issues such as:<\/p>\n<ul>\n<li><strong>Persons who must be notified:<\/strong> it is disputed whether an emancipated minor should be included. The Spanish Supreme Court included emancipated minors in its judgment of 16 May 1984 (EDJ 9768), although the current wording appears to limit the rule to persons under guardianship or parental authority. Notification of legatees of a proportional share and compulsory heirs has also been accepted (Directorate-General of Registries and Notaries Resolutions of 4 November 1935 and 25 March 1952).<\/li>\n<li><strong>Form of notification:<\/strong> no specific form is required. A declaration by the estate partitioner confirming that notice was given is sufficient, although it may also be confirmed by the legal representative (Spanish Supreme Court judgments of 26 November 1955, 11 April 1967 and 16 May 1984).<\/li>\n<li><strong>Position of the representatives:<\/strong> they are not required to consent to the inventory; being notified is sufficient. Even if they object, the estate partitioner may execute the deed (Article 1057.2 of the Spanish Civil Code), without prejudice to a subsequent challenge.<\/li>\n<li><strong>Failure to give notice:<\/strong> this was initially regarded as causing nullity, but it is now generally treated as making the act voidable and capable of validation through confirmation or the expiry of the relevant limitation period.<\/li>\n<\/ul>\n<p>&nbsp;<\/p>\n<h2 id=\"characteristics-of-role\">Characteristics of the role<\/h2>\n<ul>\n<li><strong>Voluntary and temporary nature:<\/strong> the role is voluntary and temporary. The appointee must accept within six days or decline the appointment. The general period is one year unless the testator provides otherwise, with a maximum of ten years under Article 400.2 of the Spanish Civil Code. Where compulsory heirs are involved, limiting the period to five years is advisable under Article 1056.2 of the Spanish Civil Code.<\/li>\n<li><strong>Personal nature and legal capacity:<\/strong> the appointee must have legal capacity to assume obligations (Article 893 of the Spanish Civil Code). Co-heirs, legatees of a proportional share, holders of a usufruct over a share and the surviving spouse may not be appointed unless authorised. Heirs of a specific asset and persons who renounce the inheritance may be appointed. A notary or even a legal entity may also be appointed.<\/li>\n<li><strong>Powers:<\/strong> the essential function is to calculate and divide the estate. The estate partitioner may not carry out acts disposing of the assets. Nor may they exclude the surviving spouse from the liquidation of the matrimonial property regime, commute compulsory shares or revoke testamentary provisions.<\/li>\n<\/ul>\n<p>&nbsp;<\/p>\n<h2 id=\"remuneration\">Remuneration<\/h2>\n<p>It is debated whether the role is unpaid or remunerated. By analogy with the executor under Article 908 of the Spanish Civil Code, the role would generally be unpaid, although case law accepts remuneration where this is established by the testator or justified by the professional nature of the services provided (Spanish Supreme Court, 8 February 1940). Where remuneration is payable, it is treated as a deductible expense of the estate under Article 1064 of the Spanish Civil Code.<\/p>\n<p>&nbsp;<\/p>\n<h2 id=\"flexibility-in-partition\">Flexibility in the partition<\/h2>\n<p>The partition should be complete, although partial partitions are permitted where certain assets were unknown or had already been distributed. A supplementary partition or the correction of errors is also possible (Spanish Supreme Court, 3 January 1962). The appointment may be extended in justified circumstances under Article 905 of the Spanish Civil Code, provided that the extension is granted before the original period expires (Spanish Supreme Court, 29 March 2001; Directorate-General for Legal Certainty and Public Faith, 22 June 2023).<\/p>\n<p>&nbsp;<\/p>\n<h2 id=\"multiple-partitioners\">Multiple estate partitioners<\/h2>\n<p>The testator may appoint one or more estate partitioners. Where several are appointed, they may act jointly and severally or jointly. In the event of disagreement, they must act together in order to respect the testator\u2019s wishes (Articles 895 and 897 of the Spanish Civil Code).<\/p>\n<p>&nbsp;<\/p>\n<h2 id=\"conclusion\">Conclusion<\/h2>\n<p>The estate partitioner is a highly useful instrument in succession law, allowing the estate to be divided quickly, in an orderly manner and with greater legal certainty. The limited statutory regulation of the role has been supplemented by case law and legal scholarship, which define its powers, duration and limits.
